TIMBER RESERVE
The Timber Reserve can be sold in two parts:

*One part will be the value of the actual timber on the property.

*The second part will be the value of a $1,000,000 Ground Lease back per annum of FREE CASH FLOW, by present owner, to new buyer for a period of ten years.

The FREE CASH FLOW Lease will be received from a brokerage account located at Morgan Stanley, holding Brazilian publicly traded debt securities as well as
other securities. All securities will be Investment Grade Rated.

*The Cash Flow from the Securities will be assigned, to the new owner of
the subject Timber Reserve. The Lease payments will be paid semi-annually.

*The Brokerage Account at Morgan Stanley will serve as collateral, backing
the Ground Lease Back.


This two part structure, will in effect guarantee the value of the entire
property, even if not one tree is cut. The actual harvesting of the timber
is decided by the buyer, when he concludes that conditions are favorable.

The CASH FLOW from the Lease back on the ground lease can always be adjusted
upwards, if any adverse situations should arise.
The timber on the property of course cannot be increased, but the CASH FLOW
can, to compensate. This aspect can be negotiated between the parties.

Interested parties are invited to make offers on the property. The subject
property is part of a vast Brazilian timber reserve (8 million acres,also available),and other Brazilian and US assets, (hotels and apartment buildings,
with a very high Investment Grade Cash Flow of: 1MM - 10MM per annum,
Guaranteed by Morgan Stanley.


The Trust is being liquidated to create a Unregulated Global Publicly
Traded Bank. The Bank will have no Brances, Tellers or Regulators.
However, all operating transactions will consists of Pure propriatory
Banking Transactions.

Because of its finacial structure, the Bank will have few fixed expenses.
The Banking Transactions will be propriatory with enormous profit margins.
The Bank if structured correctly will have enormous Global reach and Power.
