Existing Assets
The project already benefits from significant existing infrastructure, substantially reducing development risk and capital requirements. Existing assets include an operating wellness center, a three-bedroom luxury family lodge, a commercial kitchen, a 30 kW solar photovoltaic system, naturally mineralized thermal wells, thermal pools, a sauna, therapy rooms, internal roads, utilities, landscaped grounds, an established hospitality operation, a loyal guest base, a strong online reputation, and several years of operating experience.
Founder Contribution
The founder contributes tangible assets consisting of a three-bedroom luxury family lodge and 2.7 hectares (6.7 acres) of development land. In addition to these tangible assets, the founder contributes the Tapihue Lodge brand, the business concept, project development, executive management, hospitality expertise, marketing platform, operational systems, and strategic industry relationships.
Investment Use of Funds
The requested investment will be used to construct five luxury cabins with private thermal soaking tubs, complete site infrastructure and utility extensions, improve landscaping and guest pathways, furnish the cabins, upgrade selected wellness facilities, fund pre-opening expenses, and provide adequate working capital during the launch phase.
Ownership Structure
Following the investment, the founder will retain 55% ownership of Tapihue Lodge, while the investor will own 45%. The founder will remain responsible for all day-to-day management, strategic direction, operations, and business development.
Business Model
Tapihue Lodge is the lodging company and investment vehicle. Guests staying at Tapihue Lodge enjoy complimentary access to the adjacent Tapihue Wellness Center, including the thermal pools and sauna. Additional services such as massage therapies, wellness treatments, longevity programs, retreats, and food and beverage are offered separately through Tapihue Wellness and are not included in the financial projections presented in this memorandum.

The existing family lodge accommodates up to six guests and is expected to operate at an average nightly rate of US$500, which includes accommodation and access to the wellness center, thermal pools, and sauna. Food, beverages, therapies, and wellness programs are offered separately.
The development will add five luxury cabins accommodating a total of ten additional guests. Each cabin will include a private thermal soaking tub and will be offered at an average nightly rate of US$300, including accommodation and wellness center access. Optional wellness services and dining will be available separately.
The completed development will have a maximum guest capacity of sixteen people, preserving the exclusive boutique character of the retreat.
